在《民法典》实施之前，学界对于农村集体经济组织法人治理结构的研究主要是其法律属性及如何进行法人化改造。《民法典》出台后，农村集体经济组织该怎样构建治理结构并没有具体的法律依据。本文通过明确农村集体经济组织法人的治理结构内涵，并结合农村集体产权改革试点的经验，对农村集体经济组织试点现状进行分析，并以此为基础为构建农村集体经济组织法人治理结构提出可行建议，具体如下：

第一部分：农村集体经济组织法人的治理结构概述。通过界定其性质来区分其和农民专业合作社的不同之处来明晰农村集体经济及组织法人的内涵及特殊性；而阐述其治理结构时，主要是通过明晰什么是治理结构，引入法人治理结构的概念，厘清农村集体经济组织法人治理结构的含义，为下文的论述提供理论基础。

第二部分：农村集体经济组织法人治理结构现状考察，主要包括两部分，即其治理结构现状的立法和实践考察。在分析农村集体经济组织法人治理结构的立法现状时，主要通过梳理法律法规中对农村集体经济组织的规定，从而进一步结合农村集体产权改革政策中对农村集体经济组织法人治理结构的规定，从而探析出在立法层面，其构建治理结构所面临的困境；分析其实践考察研究时，主要列举了我国农村集体产权改革试点过程中的典型案例，对其治理结构做进一步的分析与思考。

第三部分：这一部分主要介绍农村集体经济组织法人的治理困境，通过上文的分析，不难发现，《农村集体经济组织法》的缺乏导致其作为特别法人的应有效能得不到凸显，与此同时，农村集体经济组织在改革试点过程中，其章程形式化诱发了农村集体经济组织法人治理结构的形骸化；在前文所梳理出的困境基础上对造成这种困境的原因进行分析，为第四部分的论述做好铺垫。

第四部分：农村集体经济组织法人治理结构构建的具体路径。通过明确构建治理结构的原则，并基于此为制定《农村集体经济组织法》及凸显其特别功能提出可行的立法建议，从而论证农村集体经济组织法人应构筑法人治理结构的特有形式、完善内部权利民主决议规则、完善内部执行机构的经营管理机制、完善内部权益分配机制、完善内部监督机制等具体路径进行完善其治理结构。综上所述，农村集体经济组织法人既要完善内部静态治理结构，也要完善其高效运营的动态治理结构进而其走上健康发展道路，最终实现小康目标。

Before the implementation of the Civil Code, the academic research on the governance structure of rural collective economic organizations is mainly its legal attributes and how to carry out the transformation of legal person. After the Civil Code, there is no specific legal basis for how to construct the governance structure of rural collective economic organizations. This paper analyzes the current situation of the rural collective economic organization by clarifying the connotation of the governance structure of the people of the rural collective economic organization and combining the experience of the reform of the rural collective property rights, and puts forward some feasible suggestions for the construction of the governance structure of the people of the rural collective economic organization on the basis of this, as follows:

The first part: the rural collective economic organization law person's governance structure overview. By defining its nature to distinguish it from peasant professional cooperatives to clarify the meaning and particularity of rural collective economy and organic person; While expounding its governance structure, mainly through clarifying what is the governance structure, introducing the concept of corporate governance structure, clarifying the meaning of the human governance structure of rural collective economic organizations, and providing the theoretical basis for the following discussion.

The second part: rural collective economic organization law human governance structure present situation inspection, mainly includes two parts, namely its governance structure present situation legislation and the practice inspection. In the analysis of the legislative situation of the personal governance structure of the rural collective economic organization, mainly through combing the provisions of the laws and regulations on the rural collective economic organization, so as to further combine the provisions of the rural collective property reform policy on the personal governance structure of the rural collective economic organization, so as to explore the legislative level, its construction of governance structure of the dilemma; When analyzing its practice, this paper mainly enumerates the typical cases in the process of rural collective property reform in our country, and makes further analysis and reflection on its governance structure.

The third part: this part mainly introduces the governance dilemma of the people of the rural collective economic organization. Through the above analysis, it is not difficult to find that the lack of the rural collective economic organization law leads to the lack of its effectiveness as a special legal person, meanwhile, in the reform pilot process, the formalization of the constitution of the rural collective economic organization has induced the formalization of the governance structure of the people of the rural collective economic organization; On the basis of the predicament teased out above, this paper analyzes the causes of this predicament and lays the groundwork for the fourth part of the thesis.

The fourth part: the concrete path of constructing human governance structure of rural collective economic organization law. Based on this, the author puts forward some feasible legislative suggestions for the establishment of the rural collective economic organization law and its special function, and proves that the rural collective economic organization law should construct the unique form of corporate governance structure, perfect the rules of internal democratic resolution, improve the management mechanism of the internal executive body, improve the internal equity distribution mechanism and improve the internal supervision mechanism. To sum up, the rural collective economic organizations should not only improve the internal static governance structure, but also improve the dynamic governance structure of its efficient operation and then go on the road of healthy development, and finally achieve the goal of well-off.
